Mihkel Voore

Mihkel Voore is a recently retired senior partner at Stikeman Elliott practising in the corporate and securities law areas, specializing in mergers and acquisitions (M&A), corporate finance, corporate governance, corporate reorganizations and contested shareholder meetings. He is the former Co-Chair of the firm’s Securities Law Group and the former Chair of the Corporate Finance Group in the firm’s Toronto office.

Mihkel’s extensive corporate finance experience has included numerous significant equity offerings by Canadian financial institutions including Royal Bank of Canada and pharmaceutical, biotech, mining and energy companies, as well as medium term note and other public and private debt offerings by large Canadian and U.S. companies and banks. He acted as Canadian counsel to the underwriters on the US $23.1 billion IPO of General Motors in 2010. His M&A experience involved various transactions including tender offers by a multinational energy company (Royal Dutch Shell) and a large multinational pharmaceutical and chemicals company for the minority shares of their respective public Canadian subsidiaries, and acquisitions, among others, by a major U.S. energy and pipeline company, Canada’s largest technology company, a large Norwegian metals and energy conglomerate and a major African gold mining company.

Mihkel is a member of the Law Society of Ontario, the Canadian Bar Association and the International Bar Association. He acted as legal advisor to the Expert Panel on Securities Regulation appointed by the federal Minister of Finance. He has also acted as a consultant to Industry Canada on revisions to the regulations under the Canada Business Corporations Act in the areas of insider trading, proxies and proxy solicitations, financial disclosure and take-over bids.

Mihkel is the co-author of a leading legal textbook on board and shareholder meetings (Corporate Meetings: Law and Practice – Thomson Reuters) and has served on the editorial boards of The Valuation Law Review and Corporate Financing. Over the years, he has chaired and appeared as a speaker at numerous conferences.

In 2012, Mihkel suffered a spinal stroke. He is a quadriplegic as a result and uses a power wheelchair.
